Acceptance of terms
By using DSJ Network's website or products you agree to these terms. If you do not agree, please do not use our website or products. If you are using our products on behalf of a company or other organization, you represent that you have the authority to bind that entity to these terms.
Description of services
We provide software products for e-commerce businesses, including MC Cart, MC Sync, MC Helpdesk, MC Analytics, Workforce and Operations Hub. The features, availability and scope of each product may change over time as we improve and develop them.
Accounts and registration
Some products require an account. You agree to provide accurate information and to keep it up to date. You are responsible for your account and credentials, including all activity that occurs under them, and you agree to notify us promptly of any unauthorized use.
Acceptable use
You agree to use our products lawfully and responsibly. You may not:
- Use the products for any unlawful, infringing, abusive, or disruptive purpose.
- Reverse engineer, decompile, or attempt to extract the source code of our software, except where such restriction is prohibited by law.
- Interfere with or disrupt the integrity or performance of the products or the data they contain.
- Use the products in any way that violates third-party platform rules, such as those of Shopify, Meta or messaging providers.
Fees and payment
Paid plans are billed as described at the time of purchase or in your order. Unless stated otherwise, fees are non-refundable except where required by law. We may change our pricing, and we will give reasonable notice of changes that affect an active subscription.
Intellectual property
We retain all rights, title and interest in and to our software, including all related intellectual property. You retain rights to your data. Nothing in these terms transfers ownership of our software to you, and nothing transfers ownership of your data to us.
Customer data
You grant us a limited license to process your data solely to provide the services, including operating, maintaining and improving the products you use. We handle personal data as described in the Privacy policy.
Third-party services
Our products integrate with third-party platforms such as Shopify and Meta. Your use of those platforms is subject to their own terms and policies. We are not responsible for third parties, including their availability, performance, or any changes they make to their services.
Disclaimers
The services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the services will be uninterrupted, error-free, or secure, or that any defects will be corrected.
Limitation of liability
To the maximum extent permitted by law, DSJ Network is not liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, or data. Our total liability arising out of or relating to the services is capped at the fees you paid to us in the prior 12 months.
Indemnification
You agree to indemnify and hold us harmless against any claims, damages, liabilities, and expenses arising from your misuse of the services or from your data, including any claim that your data infringes the rights of a third party.
Term and termination
These terms remain in effect while you use our products. Either party may terminate at any time. We may suspend or terminate your access for violations of these terms or for conduct that we reasonably believe may harm us, other customers, or third parties.
Governing law
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws principles.
Changes to these terms
We may update these terms from time to time. When we do, we will post the new date here. Your continued use of the services after an update means you accept the revised terms.
